END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a single entity) and EyeSpy Shield LLC (“Licensor,” “we,” “us,” or “our”) regarding your use of the EyeSpy Shield software, applications, tools, or related documentation (collectively, the Software). This End-User License Agreement (EULA) serves as a legally binding contract between you and EyeSpy Shield LLC, dictating the terms of your software use.

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT INSTALL, ACCESS, OR USE THE SOFTWARE

1. License Grant

Subject to the terms and conditions of this Agreement, EyeSpy Shield LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Software solely for your personal or internal business purposes. You may install and use the Software on devices you own or control, in accordance with this Agreement.

2. Restrictions

You covenant that you shall not, nor shall you authorize or permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Software;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software;
  • Distribute, sell, license, sublicense, rent, lease, lend, or otherwise transfer the Software to any third party;
  • Use the Software for any unlawful purpose or in violation of applicable laws, regulations, or third-party rights;
  • Remove, alter, or obscure any proprietary notices on the Software.
  • Attempt to bypass, disable, or interfere with any security-related features or technical protections of the Software.

3. Ownership

The Software is licensed, not sold. EyeSpy Shield LLC and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights in or to the Software other than the limited license expressly set forth herein.

4. Updates and Support

The rights granted herein constitute a license to use, not a transfer of title or ownership. EyeSpy Shield LLC and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights in or to the Software other than the limited license expressly set forth herein.

 

5. Term and Termination

This EULA is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

6. Disclaimer of Warranties

Except as expressly set forth in this Agreement, the Services are provided without warranty of any kind. EyeSpy Shield LLC does not warrant that the Software will be uninterrupted, error-free, or completely secure, nor does it make any warranty as to the results that may be obtained from use of the Software. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EYESPY SHIELD LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. EYESPY SHIELD LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE ERROR-FREE, OR BE UNINTERRUPTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EYESPY SHIELD LLC OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction where EyeSpy Shield LLC is registered, without regard to conflict of law principles.

9. Changes to This EULA

EyeSpy Shield LLC reserves the right to modify or update this EULA at any time. The updated version will be effective when posted at: https://eyespyshield.com/support.php
Your continued use of the Software after any such changes constitutes your acceptance of the updated EULA.
